Tesla has confirmed its 2026 annual shareholder meeting will take place on December 3, with investors set to vote on the re-election of CEO Elon Musk, Board Chair Robyn Denholm, and Tesla co-founder JB Straubel.
According to the company’s proxy statement filed with the SEC on October 19, the meeting will begin at 3:00 p.m. CT (1:00 p.m. Pacific), with shareholders able to participate virtually or attend in person at Giga Texas through a limited-seat lottery.
The meeting follows last year’s shareholder vote on Musk’s massive 2025 CEO Performance Award, which could eventually be worth up to US$1 trillion (C$1.42 trillion) if Tesla reaches a series of ambitious milestones.
Tesla has also been working to increase shareholder participation, recently receiving SEC clearance for a new retail voting program.
Three Proposals on the Ballot
Shareholders will vote on three proposals, all supported by Tesla’s Board of Directors:
- Re-elect Musk, Denholm, and Straubel for three-year terms.
- Approve 2025 executive compensation through a non-binding advisory vote.
- Ratify PricewaterhouseCoopers as Tesla’s independent auditor for 2026.
There are no shareholder proposals on this year’s ballot.
The filing also provides an update on Musk’s compensation. His reported 2025 total was US$158.36 billion (C$224.1 billion), including US$132.30 billion (C$187.3 billion) attributed to his performance award’s maximum grant-date fair value and US$26.06 billion (C$36.9 billion) from his 2025 interim award, which was fully forfeited in April 2026.
None of the 12 performance-award tranches had been earned as of the filing.
How Canadian Shareholders Can Vote
Canadian investors holding TSLA through a brokerage must follow their broker’s voting instructions. Brokers cannot vote uninstructed shares on director elections or executive compensation.
Online and telephone proxy voting generally closes December 2 at 11:59 p.m. Eastern (8:59 p.m. Pacific), although brokers may impose earlier deadlines.
Tesla’s new voluntary retail voting program also launches October 19, allowing eligible investors to set voting preferences for future meetings.
