Tesla has officially completed its previously undisclosed AI hardware acquisition, with a new regulatory filing confirming the deal closed during the second quarter of 2026.
The acquisition was first revealed in Tesla’s quarterly filing in April through a single sentence that disclosed an agreement to purchase an unnamed AI hardware company. At the time, Tesla provided few details beyond saying the deal could be worth up to $2 billion.
Tesla’s latest 10-Q filing with the Securities and Exchange Commission (SEC) now confirms the deal has been completed.
According to Note 3 in the filing, Tesla completed the acquisition as an asset purchase valued at $1.95 billion in Tesla common stock and equity awards.
Of that, $1.73 billion is tied to service conditions and performance milestones related to the successful deployment of the acquired company’s technology. That means nearly 89% of the deal’s value will only be paid in the future, and if certain milestones are met, rather than being paid upfront.
Tesla also disclosed that $222 million of the purchase price was allocated to patents and related developed technology, suggesting the company’s intellectual property was a key motivation behind the acquisition.
Tesla noted that no stock-based compensation expense related to the performance-based awards was recognized during the second quarter because the required performance conditions were considered improbable at that time.
While the structure of the deal doesn’t necessarily indicate the technology won’t succeed, it does highlight that the largest portion of the acquisition remains contingent on future milestones being achieved.
But who is it?
Despite the deal closing, the filing leaves one big question unanswered – which company Tesla actually bought. The new filing offers no additional clues about the business beyond continuing to describe it as an AI hardware company, although speculation online suggests a likely candidate is DensityAI, an AI hardware startup formed mostly by ex-leaders of Tesla’s disbanded Dojo supercomputer project.
Tesla has not commented on the deal, other than what is included in the filing.
